ProvaFlow Affiliate Program — Terms of Service

By enrolling in the ProvaFlow Affiliate Program ("Program"), you ("Affiliate") agree to these Terms. ProvaFlow ("we," "us") may update these Terms at any time; continued participation after changes means acceptance. If you do not agree, do not participate.

Enrollment is subject to our approval, which we may grant or deny at our sole discretion. We may also terminate any Affiliate at any time, with or without cause.

Approved Affiliates earn a commission on qualifying paid subscriptions generated through their unique referral link, at the rate shown in your Affiliate dashboard. A sale qualifies only when the referred customer completes payment and the payment clears. Commissions are calculated on net revenue actually received by us, excluding taxes, refunds, chargebacks, and processing fees.

Commissions are paid according to the schedule and minimum payout threshold shown in your dashboard. Commissions on a referred customer accrue only while that customer maintains an active paid subscription. If a customer refunds, cancels, or charges back, the associated commission is reversed and may be deducted from your balance.

You must clearly and conspicuously disclose your affiliate relationship with ProvaFlow wherever you promote us, in compliance with the U.S. FTC Endorsement Guides and any applicable law in your jurisdiction. Acceptable disclosures include "#ad," "paid partnership," or a plain-language statement that you earn a commission. Failure to disclose is grounds for immediate termination and forfeiture of unpaid commissions.

You may not: (a) bid on "ProvaFlow" or confusingly similar terms in paid search or run ads that impersonate us; (b) make false, misleading, or unsubstantiated claims about ProvaFlow, including any health, medical, clinical, or guaranteed-outcome claims; (c) use spam, unsolicited email, or deceptive practices to promote your link; (d) offer unauthorized cash rebates, coupons, or incentives in our name; (e) self-refer or generate commissions on your own purchases; (f) promote ProvaFlow on sites containing illegal, hateful, adult, or infringing content; (g) misrepresent yourself as an employee, agent, or official representative of ProvaFlow.

We grant you a limited, revocable, non-exclusive license to use our name and provided marketing assets solely to promote ProvaFlow under these Terms. You may not modify our marks or use them in a way that implies endorsement of anything other than our product. All rights revert to us on termination.

We may terminate your participation at any time. On termination for breach — including undisclosed promotion, fraud, or prohibited conduct — you forfeit all unpaid commissions. Sections concerning liability, indemnity, and prohibited conduct survive termination.

You are an independent contractor, not our employee, partner, or agent. You are solely responsible for your own taxes on commissions earned. Nothing here creates a joint venture or employment relationship.

The Program is provided "as is." To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from the Program, and our total liability to you will not exceed the total commissions paid to you in the three months preceding the claim.

You agree to indemnify and hold ProvaFlow harmless from any claim arising out of your promotional activities, your breach of these Terms, or your violation of any law.

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules.
